1. Introduction

Welcome to the Payroll AI mobile application and website (together, the "Service"). By accessing, downloading, installing or using the Service, you (the "User") agree to be bound by this Terms & Conditions, Copyright and UK GDPR Privacy Policy document (the "Terms"). If you do not agree to every provision, discontinue use immediately.

Payroll AI Limited ("Payroll AI", "we", "our", "us") may update the Terms at any time. Updates take effect on the date they are posted inside the Service. Continued use after that date constitutes acceptance of the revised Terms.

2. Intellectual Property and Copyright

2.1 Ownership of Content

All text, graphics, images, logos, icons, audio, video, software, data compilations and their arrangement (collectively, the "Content") are the exclusive property of Payroll AI or its licensors and are protected by copyright, trademark, trade-secret and patent laws.

2.2 Proprietary Concept

The business methods, algorithms, schemas and processes underlying the Service (the "Proprietary Concept") belong solely to Payroll AI. Unauthorised use is a material breach and may lead to civil and/or criminal penalties.

2.3 Limited Licence

Payroll AI grants you a revocable, non-exclusive, non-transferable licence to use the Service solely for your legitimate payroll or HR purposes. No intellectual-property rights are assigned.

2.4 Restrictions

  • You must not copy, reverse-engineer, distribute, publish or commercially exploit any part of the Service without our prior written consent.
  • You must not remove or alter any copyright or proprietary notices.

2.5 Infringement Notification

Alleged IP infringements should be reported to info@payrollai.co.uk and must include (i) your contact details; (ii) a description of the work; (iii) the location of the material; (iv) a good-faith statement of infringement; and (v) an electronic signature.

2.6 Legal Remedies

Payroll AI reserves all legal and equitable remedies for any breach of these intellectual-property provisions.

3. User Conduct

You agree not to:

  • Violate any applicable law or regulation.
  • Publish or transmit defamatory, fraudulent, obscene or otherwise objectionable material.
  • Impersonate any person or misrepresent your affiliation.
  • Use automated scraping tools without written permission.
  • Attempt unauthorised access to the Service or its infrastructure.
  • Introduce viruses, worms or other malicious code.

Breaches may result in immediate suspension or termination of access and possible legal action.

4. Disclaimers and Warranties

4.1 "As Is" / "As Available"

The Service and all Content are provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

4.2 No Guarantee of Results

Payroll AI does not warrant that the Service will meet your requirements or be uninterrupted, secure or error-free.

5. Limitation of Liability

Important: This section limits our liability to you. Please read it carefully.

To the fullest extent permitted by law, Payroll AI and its officers, directors, employees, affiliates and licensors shall not be liable for any indirect, consequential, special, incidental or punitive damages, or any loss of profits or data. Our total cumulative liability for all claims shall not exceed £50 GBP.

6. Indemnification

You agree to indemnify and hold harmless Payroll AI and its affiliates from any losses, damages, costs or expenses (including reasonable legal fees) arising from your breach of these Terms or violation of any law.

7. Termination

Payroll AI may suspend or terminate your access without notice if we believe you have violated these Terms or engaged in fraudulent, abusive or unlawful behaviour. Clauses concerning intellectual property, disclaimers, limitation of liability and governing law survive termination.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. You submit to the exclusive jurisdiction of the English courts for any dispute arising out of or relating to the Service.

9. Severability and Waiver

If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the remainder of the Terms will remain in force. Failure to enforce any right is not a waiver of that right.

10. Entire Agreement

These Terms constitute the entire agreement between you and Payroll AI regarding the Service and supersede all prior agreements or understandings.
